The company’s wholly owned NLV Greenhouse is Nevada’s major commercial greenhouse, consisting of 400,000 square feet for the cultivation of marijuana and 55,000 square feet dedicated to a production and packaging facility for the processing, production and high-volume packaging of dry flower, cannabis oils, concentrates and infused products.
The company’s products are sold in both wholesale and packaged formats and it has products in 80% of the retail stores in Nevada. The company produces a wide range of products from wholesale flower, fullspectrum oils and distillates to finished consumer packaged goods including flower, pre-rolls, concentrates, edibles and topicals.
The company focuses on being an end-to-end fully integrated brand fulfillment operation, and has separate licensing agreements and brand partnerships with cannabis brands, including Rapid Dose Therapeutics, Flyte Concentrates, Old Pal, Palms, Huxton, CannAmerica, Grenco Science, The Medicine Cabinet, La Vida Verde, The Clear Cannabis Group, 22Red, Kiva Confections, Cookies, Heavy Hitters, and Deuces 22.
The company’s conversion of the NLV Greenhouse to cannabis cultivation, as well as the installation of equipment for cannabis production. Flower One holds, through CN Licenseco I, Inc. for use at the NLV Greenhouse, four Nevada state-issued marijuana licenses to operate in the state of Nevada as a medical and recreational cultivator and producer, including one Medical Marijuana Production License, one Medical Marijuana Cultivation License, one recreational Marijuana Product Manufacturing License and one recreational Marijuana Cultivation Facility License. Under applicable laws, the licenses permit the company to cultivate, manufacture, process, package, sell, and purchase cannabis pursuant to the terms of the licenses, which are issued by the NDOT under the provisions of Nevada Revised Statutes section 453A..
In addition to the NLV Greenhouse, Flower One owns the Losee Building, which the company proposes to renovate to allow for multiple uses, and it leases the Neeham Property, with a 25,000 square-feet of indoor cultivation and a commercial kitchen that produces some of Nevada’s commercial brands. Additionally, the company leases a warehouse in North Las Vegas that stores non-cannabis inventory items including packaging.
The company, through the acquisition of the assets of NLVO, owns four additional licenses, which includes one Medical Marijuana Production License, one Medical Marijuana Cultivation License, one recreational Marijuana Product Manufacturing License, and one recreational Marijuana Cultivation Facility License. The company also obtained NLVO’s right to pursue a Marijuana Distribution License under a prior application made by NLVO, which license would be transferred to the company once issued.
Production and Services
The company has production capacity to produce up to 140,000 pounds per year, based on a yield of 94 grams of dry flower per plant, a fully canopied greenhouse with 80,000 plants, and six harvest cycles. This will result in 100,000 pounds of triple-A flower. The company produces a wide range of products from wholesale flower, full-spectrum oils and distillates to finished consumer packaged goods including flower, pre-rolls, concentrates, edibles and topicals for the top performing brands in cannabis. These products are sold in both wholesale and packaged formats.
The company has three sales channels for supplying Nevada’s retail cannabis market and post-harvest production market:
Direct Selling to Nevada’s Dispensaries: The company sells third party branded products under licencing and brand partnership agreements, as well as its own NLVO branded products, directly to the licensed dispensaries in the state of Nevada.
Wholesale Market: The company sells a range of unbranded, wholesale products, including dry flower, trim, oil and distillates, to existing production and retail license holders who are seeking to reformulate and package the products under their own brands.
Contract Cultivation, Production and Packaging. It is not permissible for cannabis grown and processed by state-sanctioned license holders to cross state boundaries, so all cannabis legally sold in Nevada must be grown in Nevada. The company’s end-to-end fully integrated brand fulfillment operation provides brands in or looking to enter the Nevada market with a single and consistent source of supply of a full suite of products.
Intellectual Property
Flower One has licensed the intellectual property rights to more than 50 cannabis strains through the NLVO License Agreement. The company relies on non-disclosure and confidentiality agreements to protect any intellectual property rights.
